Holstery Wholesale/Distributor Agreement

 

By purchasing from our wholesale site you agree to the following.

Products covered:

• All existing products as listed on the Wholesale website.
• Existing product design or manufacturing changes are made at Holstery's discretion.
  

Scope/Territory:

• Non-exclusive.
• Channels: may use own website, or physical retail location.
• Amazon and eBay listings are prohibited.
  
  

Distributor Obligations:

• Maintain Holstery brand standards. Product collateral (digital) as available.
• Customer Support for shipping questions.
• Product exchanges and returns.

Holstery Obligations:

• Wholesale Order Fulfillment (estimated 2-4 weeks)  We will notify you if a longer time frame is expected.
• Product Warranty: support@holstery.com

Pricing:

• Per Website. Pricing changes may occur without notice ( but we will try to let you know ahead of time).
• Distributor must maintain Minimum Advertised Pricing (MAP)
• Taxes, duties, customs, shipping – paid by the distributor. 
• Tax exemption form (if applicable) must be supplied by the distributor.
• Payment terms – prepaid by credit or debit card.
• Repeat customers may request payment terms.  Must provide:
• Legal name of the company, address, type of company, state of formation 
• Date company founded.
• Annual revenue (last year, this year).
• Banking Reference.
• Contact info: purchasing and accounting.

Term of agreement:

•      No set term – may be canceled by either party once obligations are fulfilled.
